Abstract

We integrate different perspectives on how boards function, including agency theory, resource dependence theory, stewardship theory, and strategic advising theory, and consider how corporate boards are composed for the role which is most needed for the firm. By examining whether country and institutional system level variation exists in how firms choose their boards' roles and structure, we are able to empirically derive a taxonomy of national governance clusters according to whether boards are structured for high monitoring ability or high level of experience.
